PLEASE READ THIS END USER LICENCE AGREEMENT CAREFULLY.
You agree to accept and to be bound by (1) this EULA and (2) the Privacy Policy at all times. If You do not agree with one of these, please do not install or use the Product.

1. Introduction
These Terms of Service and End User License Agreement (“TOS” / “EULA”) constitute a legally binding agreement between you (“User”) and ARC EYE LLC (“ARC EYE,” “we,” “us,” or “our”).
By purchasing WOLF ONE hardware, installing, or using Leash software, you agree to comply with and be bound by these terms. If you do not agree, you may not use the software.

2. Software Description
Leash is desktop software designed for use with WOLF ONE hardware products. The software is licensed, not sold, and is provided "as is" and "as available", without any warranties of any kind, express or implied. Leash is intended to be used exclusively in conjunction with WOLF ONE hardware products manufactured by ARC EYE LLC.

3. License Grant – Hardware-Bundled License
Upon valid purchase of a WOLF ONE hardware product, ARC EYE LLC grants you a perpetual, non-exclusive, non-transferable, limited license to install and use Leash on supported devices for your personal or internal business purposes. THIS PRODUCT IS LICENSED TO YOU, NOT SOLD.
This license is perpetual (does not expire) once WOLF ONE hardware is purchased; however, this license does not entitle You to updates, modifications and improvements unless expressly provided for in your agreement with ARC EYE.
This license is tied to the original purchaser of the WOLF ONE hardware and may not be sold, assigned, sublicensed, or otherwise transferred without prior written consent from ARC EYE LLC.
ARC EYE reserves all rights not expressly granted herein.
You may not distribute or make the Licensed Software available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute or sublicense the Licensed Software and, if you sell your WOLF ONE hardware to a third party, you must remove the Licensed Software from any devices before doing so. You may not copy (except as permitted by this license), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed software, any updates, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Licensed Software).

4. Trial and Evaluation Licenses
ARC EYE LLC may, at its discretion, provide trial or evaluation versions of Leash for users who do not yet own WOLF ONE hardware. These licenses are subject to the following conditions:
Limited Duration: Trial licenses are time-limited and will automatically expire at the end of the evaluation period.
Restricted Use: Trial versions may only be used for non-commercial evaluation purposes. Any use for production, commercial, or client-facing work is prohibited.
No Warranty or Support: Trial versions are provided without warranty and may not receive full support or updates.
Conversion to Full License: To continue using Leash beyond the trial period, you must purchase WOLF ONE hardware.

5. Installation and Activation
Leash requires activation with a valid license key or WOLF ONE hardware registration. License keys are provided upon registration of your WOLF ONE hardware purchase. Unauthorized use, distribution, or bypassing of license controls is strictly prohibited.

6. Intellectual Property
a) All rights, title, and interest in Leash, including but not limited to source code, designs, logos, and documentation, remain the sole property of ARC EYE LLC. You may not remove or alter copyright notices or proprietary legends.
b) You may provide input to Leash ("Input"), and receive output from Leash based on the Input (“Output”). Input and Output are collectively “Content.” You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms.
c) As between You and ARC EYE, and to the extent permitted by applicable law, you (i) retain your ownership rights in Input and (ii) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

7. Prohibited Uses
a) You shall not, directly or indirectly (i) sell, rent out, lease, license, distribute, market, exploit the Product or any of its parts commercially, (ii) reverse engineer, decompile, disassemble, adapt, reproduce, or create derivate works of this Product (except if the Product enable You through a specific feature to create, generate or submit User Generated Content, in whole or in part; (iii) create, use and/or distribute “auto”, “trainer”, “script” or “macro” computer programs or other “cheat” or “hack” programs or software applications for this Product (whether over the internet or in local area network); (iv) remove, alter, disable or circumvent any copyright and trademark indications or other authorship and origin information, notices or labels contained on or within this Product and (v) export or re-export this Product or any copy of adaptation in violation of any applicable laws or regulations.
b) While using the Product, You agree to comply will all applicable laws, rules and regulations. In all cases, You may only use the Product according to anticipated use of the Product.
c) You may not use or otherwise export or re-export the Licensed Software except as authorized by United States law and the laws of the jurisdiction in which the Licensed Software was obtained. In particular, but without limitation, the Licensed Software may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Licensed Software, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
d) Specifically excluded from application to this Agreement is that law known as the United Nations Convention on the International Sale of Goods.

8. Third-Party Components
Leash may include or depend on third-party components, libraries, or SDKs that are licensed under separate open-source or proprietary terms. By using Leash, you agree to comply with such third-party license terms, as outlined in Appendix A – Third-Party Notices.

9. Data and Privacy
Leash does not collect personal user data by default. You agree that Licensor may collect and use technical data and related information - including but not limited to technical information about your device, system and application software, peripherals, and connected WOLF ONE hardware - that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Software. Licensor may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.

10. Security Responsibility
You are responsible for securing your systems and data. ARC EYE LLC is not liable for unauthorized access, breaches, or misuse of your environment.

11. Termination
Your perpetual license is valid indefinitely, but ARC EYE LLC may terminate this Agreement if you materially violate these terms and fail to cure such violation within 30 days of written notice.
Trial and evaluation licenses automatically terminate at the end of their specified period.

12. Updates & Changes
Purchase of WOLF ONE hardware entitles you to the current version of Leash and any minor updates, patches, or bug fixes released for that version. Major version upgrades (for example, Leash 2.0) may require a separate license or additional hardware registration.
ARC EYE reserves the right to update this TOS/EULA at any time by posting changes at www.arceye.com. Continued use after updates constitutes acceptance.

13. Warranty Disclaimer
a) Our software requires access to the Internet for activation and use. We do not guarantee uninterrupted operation, compatibility, or error-free performance during use of the program. You must have access to an electronic communication network. The connection costs, shall be exclusively borne by You. You acknowledge that the quality of the Products, the response time or access to certain features may depend on the capacities of Your electronic communication network.  You acknowledge that the Product may not be available for use on all mobile devices or through all carriers or network service providers.
NO WARRANTY: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED SOFTWARE AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED SOFTWARE ARE PROVIDED "AS IS" AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.


14. Limitation of Liability
Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Licensor’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of one hundred dollars ($100.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

15. Indemnification
a) You agree to indemnify and hold ARC EYE LLC harmless from claims, damages, or expenses arising from your misuse of Leash.
b) YOU HEREBY AGREE TO DEFEND, INDEMNIFY AND KEEP INDEMNIFIED ARC EYE AND ITS AFFILIATES AGAINST ANY CLAIM OR ALLEGED CLAIMS, LIABILITIES, LOSSES DAMAGES AND ALL COSTS (INCLUDING LAWYERS’ FEES), DIRECTLY OR INDIRECTLY ATTRIBUTABLE TO YOUR FAULT AND/OR RESULTING FROM (A) A VIOLATION OF ANY PROVISION OF THIS EULA OR (B) YOUR USE OR MISUSE OF THE PRODUCT. ARC EYE reserves the right to take sole responsibility, at Your expense, for conducting the defense of any claim for which You agreed to indemnify ARC EYE. The provisions of this Section shall remain in force after termination of this EULA.

16. High-Risk Use Disclaimer
Leash is not designed or intended for use in safety-critical systems, including but not limited to: medical devices, life support systems, nuclear facilities, or defense applications. ARC EYE LLC expressly disclaims all liability arising from such uses.

17. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of Arizona, USA, without regard to conflict of law principles.
Any disputes shall be resolved through binding arbitration in Maricopa County, Arizona, under the American Arbitration Association rules. You waive the right to a jury trial or class action.

18. Export Compliance
You agree not to export, re-export, or use Leash in violation of U.S. export control laws or international sanctions.

19. Support and Discontinuation
ARC EYE LLC may, at its discretion, provide updates and technical support. While ARC EYE LLC may discontinue support for older versions, purchased licenses remain valid and functional.

20. Severability
If any provision is found unenforceable, the remaining provisions remain in full force.

21. Notices
ARC EYE reserves the right, in its sole and absolute discretion, to revise, update, change, modify, add to, supplement, or delete certain terms of this EULA for security, legal, best practice or regulatory reasons. Such changes will be effective with or, as applicable, without prior notice to You. You can review the most current version of this EULA by clicking on the “EULA” link located on the Product or on our website. You are responsible for checking this EULA periodically for changes. If any future changes to this EULA are unacceptable to You or cause You to no longer be in agreement or compliance with this EULA, You may terminate this EULA and must immediately uninstall the Product and destroy all copies of the Product. Your continued use of the Product following any revision to this EULA constitutes Your complete and irrevocable acceptance of any and all such changes.
ARC EYE may modify the Product for any reason or without any specific reason, at any time and at its entire discretion, in particular for technical reasons such as updates, maintenance operations and/or resets to improve and/or optimize the Product. You agree that the Product may install or download the modifications automatically. You agree that ARC EYE may stop to support previous versions of the Product upon availability of an updated version.

22. Entire Agreement
This Agreement constitutes the entire agreement between you and ARC EYE LLC regarding Leash and supersedes all prior or contemporaneous agreements, proposals, or representations, whether written or oral, relating to its subject matter. No waiver or modification of this Agreement will be valid unless in writing and signed by ARC EYE LLC.

23. Severance.
If any court of competent jurisdiction or competent authority finds that any provision of this EULA is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of this EULA shall not be affected. If any invalid, unenforceable or illegal provision of this EULA would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable to reflect ARC EYE’s initial intentions.

24 No Waiver.
No failure or delay by ARC EYE to exercise any right or remedy provided under this EULA or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy. Waiver of a right or remedy may be considered to have taken place only after signing of a written statement to this effect by ARC EYE.

Appendix A - Third-Party Notices
Leash includes the following third-party software components, each licensed under its own terms. Only the components relevant to your operating system are included in your copy.

pyserial - Licensed under the BSD License.
